These Terms of Service govern access to and use of the website entratechnologies.com (the "Website"), operated by Entra Technologies S.L. By accessing or using the Website you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, please discontinue use of the Website immediately. These Terms do not govern the Entra platform or any of its related services, which are subject to separate agreements. 

1. Identification of the provider

Provider: Entra Technologies S.L., a limited liability company incorporated under Spanish law, with registered office in Madrid, Spain (CIF pending registration) (hereinafter, "Entra", "we" or "us").

2. Acceptance of terms

By accessing, browsing or otherwise using the Website, you accept these Terms of Service in their entirety. If you are accessing the Website on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.

We reserve the right to amend these Terms at any time. The current version will always be available on the Website with an updated effective date. Continued use of the Website after any modification constitutes acceptance of the revised Terms.

3. Description of the service

The Website is an informational resource that provides:

General information about Entra Technologies and its forthcoming cloud-native access management platform for parking facilities.
Details of the product modules and the technological vision behind the Entra ecosystem.
A registration form for the Pioneer Program, an early-access programme for parking operators (subject to its own specific Terms and Conditions).
An enquiry form for the Entra Partner Network, intended for hardware manufacturers, integrators and technology partners (subject to its own specific Terms and Conditions).
General corporate and contact information.

The Website is informational in nature. Browsing the Website does not create any contractual, pre-contractual or commercial relationship between you and Entra beyond the acceptance of these Terms of Service.

4. User obligations

By using the Website, you agree to:

Provide accurate, current and complete information in any form or registration you submit through the Website.
Use the Website solely for lawful purposes and in accordance with these Terms.
Not attempt to gain unauthorised access to any part of the Website, its servers, or any systems or networks connected to the Website.
Not use any automated means — including bots, crawlers, scrapers or spiders — to access, scrape, data-mine or otherwise collect content from the Website without Entra's prior written consent.
Not reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Website or any technology underlying it.
Not introduce viruses, trojans, worms, logic bombs or any other material that is malicious or technologically harmful.
Not interfere with, disrupt or impose an unreasonable burden on the Website's infrastructure.
Not reproduce, distribute or publicly communicate any content from the Website without Entra's prior written authorisation.

All content on the Website — including but not limited to text, graphics, logos, icons, images, audio and video materials, software, source code, visual design and overall layout — is the exclusive property of Entra Technologies S.L. or its licensors and is protected by applicable intellectual and industrial property laws.

No licence, right or interest in any trademark, copyright or other intellectual property right is granted or implied by your use of the Website. Any unauthorised use may constitute an infringement of intellectual or industrial property rights and may give rise to civil and, where applicable, criminal liability.

6. Website availability

Entra uses commercially reasonable efforts to ensure the Website is available and accessible. However, we do not guarantee uninterrupted, timely, secure or error-free access to the Website.

The Website may be temporarily unavailable due to:

Scheduled or unscheduled maintenance.
Updates, upgrades or system improvements.
Technical failures, connectivity issues or force majeure events beyond our reasonable control.

Entra shall not be liable for any loss or inconvenience arising from any interruption, suspension or discontinuance of the Website, whether temporary or permanent.

The Website may contain links to third-party websites or resources for informational or convenience purposes. These links do not imply endorsement, sponsorship or affiliation by Entra.

Entra has no control over the content, privacy practices or availability of third-party websites and accepts no responsibility or liability for any loss or damage that may arise from your use of such websites. Access to any third-party site linked from this Website is entirely at your own risk and subject to the terms and conditions of those sites.

8. Limitation of liability

The Website is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by applicable law, including Articles 1101 et seq. of the Codigo Civil espanol (Spanish Civil Code):

Entra shall not be liable for any direct, indirect, incidental, consequential, special or exemplary damages arising out of or in connection with your access to or use of the Website.
Entra makes no representations or warranties regarding the accuracy, completeness, timeliness or reliability of any information published on the Website.
Browsing the Website does not constitute any contractual commitment, offer, or promise of services by Entra.
No information on the Website shall be construed as professional, legal, financial or technical advice.

9. Registration forms — Expressions of interest

The Website provides registration forms for the Pioneer Program and enquiry forms for the Entra Partner Network. Submission of these forms constitutes an expression of interest only and does not give rise to any binding contractual obligation of a financial nature for either party.

A binding contractual relationship shall only arise upon the execution of a separate, specific agreement between Entra and the interested party, which shall incorporate the applicable commercial terms, service levels and any data processing agreements required by applicable law.

Entra reserves the right to accept, decline or not respond to any expression of interest at its sole discretion, without incurring any obligation or liability.

10. Forward-looking statements

 Important notice. The Website may contain forward-looking statements regarding Entra's products, features, capabilities, launch dates, pricing structures and strategic plans. These statements reflect Entra's current intentions and expectations as of the date of publication and are subject to change without notice. Actual products, features, timelines and capabilities may differ materially from those described on the Website. No statement on the Website shall be construed as a binding commitment to deliver any specific product, feature or service on any specific date or in any specific form.

11. Governing law and jurisdiction

These Terms of Service are governed by and construed in accordance with Spanish law, including, among others:

Ley 34/2002, de 11 de julio, de Servicios de la Sociedad de la Informacion y del Comercio Electronico (LSSI-CE) (Act on Information Society Services and Electronic Commerce).
Codigo Civil espanol (Royal Decree of 24 July 1889) (Spanish Civil Code) as regards obligations and contracts.
Codigo de Comercio de 1885 (Commercial Code of 1885), as applicable.

For the resolution of any dispute arising from or in connection with these Terms, the parties submit, with express waiver of any other jurisdiction that may apply, to the jurisdiction of the Courts and Tribunals of Madrid, Spain.

12. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent of the parties.

13. Entire agreement

These Terms of Service constitute the entire agreement between you and Entra Technologies S.L. with respect to your use of the Website and supersede all prior or contemporaneous communications, representations and agreements, whether oral or written, relating to the same subject matter.

For the avoidance of doubt, these Terms govern only the use of the Website. Participation in the Pioneer Program, the Partner Network or the use of any Entra platform service shall be governed by their respective specific terms and conditions.
