Partner Network Terms & Conditions

Version 1.0 · Last updated: March 2026 · Entra Technologies S.L.

These Terms & Conditions govern the expression-of-interest process and the framework conditions of the Partner Network of Entra Technologies S.L. Expressing interest does not create any financial commitment or binding contractual obligation of any kind.

1. Identification of the Parties

Programme owner: Entra Technologies S.L., a limited-liability company incorporated under Spanish law, with its registered office in Madrid, Spain (hereinafter, "Entra").

Prospective partner: The company or legal entity that expresses its interest in exploring a partnership relationship with Entra Technologies through the designated form (hereinafter, "the Partner" or "the Interested Company").

The Partner Network is directed exclusively at businesses. It is not designed for or aimed at natural persons acting as consumers.

2. Types of Partnership

Entra Technologies distinguishes the following categories of strategic collaboration:

a) Hardware Integration (Manufacturer) Aimed at manufacturers of access-control devices (barriers, RFID/LPR readers, cameras, intercoms, automatic doors, payment terminals) that wish their products to be natively compatible with EntraEngine before commercial launch. Certified manufacturers will receive the Entra Ready designation and priority access to the technical integration documentation and the driver API.
b) Technology Sponsor Aimed at companies in the mobility, parking, PropTech or technology ecosystem that wish to associate their brand with the launch of Entra Technologies and contribute financially to product development in exchange for visibility and preferential commercial terms. The specific terms of each sponsorship agreement will be negotiated individually.
c) Channel & Distribution (Channel Partner / Integrator) Aimed at installation companies, systems integrators, mobility consultants and fleet managers that wish to incorporate the Entra platform into their solutions portfolio and offer it to their end clients under a channel model to be defined contractually.

3. Nature of the Expression of Interest

Completing the Partner Network contact form constitutes solely an exploratory expression of intent. It does not give rise to any contractual, employment, commercial or agency relationship between Entra and the Partner until a specific agreement is executed in writing and signed by duly authorised representatives of both parties.

Entra reserves the right to select, at its sole discretion, the partners with which it establishes formal relationships. The mere expression of interest does not confer any right whatsoever upon the Partner.

4. Requirements for Hardware Manufacturers — Regulatory Compliance

Manufacturers of access-control devices seeking to obtain the Entra Ready certification must demonstrate compliance with applicable European regulations, including:

  • CE Marking in accordance with the applicable European Directives, in particular Directive 2014/53/EU (Radio Equipment Directive, RED) for devices with wireless communication, and Directive 2014/30/EU on Electromagnetic Compatibility.
  • Regulation (EU) 2024/2847 – Cyber Resilience Act (CRA), in force since 10 December 2024. Cybersecurity obligations for manufacturers will become fully applicable from 11 December 2027, but Entra will require manufacturing Partners to demonstrate an active compliance roadmap from the date of agreement execution.
  • Security-by-design and security-by-default requirements, including vulnerability management and the provision of security updates throughout the product lifecycle.
  • Any other sectoral regulation applicable in the territory where the device is marketed.

Entra assumes no liability for any regulatory non-compliance of the Partner's devices, nor for any damage that such non-compliance may cause to end operators or third parties.

5. Access to APIs and Technical Documentation

Access to the technical integration documentation, the EntraEngine driver API and sandbox environments shall be governed by the specific conditions set out in the technical integration agreement, including:

  • A non-exclusive, non-transferable and revocable licence of use, limited to the purpose of technical integration.
  • An express prohibition of reverse engineering, decompilation or redistribution of the code, in accordance with the Ley de Propiedad Intelectual (Real Decreto Legislativo 1/1996, de 12 de abril) (Spanish Intellectual Property Act).
  • An obligation not to disclose technical documentation to third parties without Entra's prior written authorisation.
  • Use of the API exclusively for the development of the approved integration.

6. Intellectual and Industrial Property

All intellectual and industrial property of Entra Technologies, including without limitation the EntraEngine platform, the edge middleware, artificial-intelligence algorithms, interfaces, trademarks and documentation, is and shall remain the exclusive property of Entra Technologies S.L.

The Partner shall retain ownership of its own pre-existing intellectual property. Developments carried out jointly under an integration agreement shall be governed by the specific contract; unless otherwise agreed, in accordance with the principles of Article 5 of the Ley de Propiedad Intelectual (Spanish Intellectual Property Act) and the provisions of the Codigo Civil (Spanish Civil Code) on co-ownership of property.

The association of the Partner's brand with Entra Technologies in communication materials shall require prior written authorisation on a case-by-case basis.

7. Confidentiality

From the first exchange of information within the partnership evaluation process, both parties mutually undertake to keep strictly confidential any technical, commercial, financial or strategic information received from the other party, in accordance with Ley 1/2019, de 20 de febrero, de Secretos Empresariales (Spanish Trade Secrets Act).

This obligation shall remain in force for three (3) years from receipt of the confidential information, irrespective of whether the partnership relationship is ultimately formalised.

Information that is in the public domain by means other than a breach of this agreement, or whose disclosure is ordered by a competent judicial or administrative authority, shall not be considered confidential information.

8. Commercial Terms

The financial terms of each type of partnership (revenue-sharing models, channel-licence fees, sponsorship agreements, certification conditions) shall be negotiated and established individually in each specific contract.

No provision of these Terms constitutes a binding offer of any remuneration, discount, commission or particular commercial condition.

9. Personal Data Protection

The processing of contact data provided through the Partner Network form shall be carried out in accordance with Regulation (EU) 2016/679 (GDPR) and Ley Organica 3/2018 (LOPDGDD) (Spanish Data Protection Act). Entra is the data controller, processing on the basis of legitimate interest (Art. 6(1)(f) GDPR) for the management of the partnership evaluation process.

Should an integration agreement be formalised that involves access to or processing of third-party data (users of facilities managed by Entra's clients), the parties shall enter into such data-processing agreements as are required under Article 28 of the GDPR.

The Partner may exercise its rights by contacting privacy@entratechnologies.com.

10. Information Security

Any Partner that accesses environments, APIs or data under an integration agreement must comply with the technical and organisational security measures established by Entra, including:

  • Exclusive use of encrypted channels (TLS 1.3 or higher) for all communications.
  • Management of access credentials in accordance with Entra's security policies.
  • Immediate notification to Entra of any security incident or data breach that may affect shared systems.
  • Full cooperation in security audits when required by Entra.

These requirements are consistent with the ISO/IEC 27001 standards and with Regulation (EU) 2024/2847 (Cyber Resilience Act).

11. Limitation of Liability

During the expression-of-interest and pre-contractual evaluation process, Entra assumes no liability for any direct or indirect damage arising from the non-formalisation of the partnership, changes in product strategy or modifications to the partner programme.

Once a specific agreement has been executed, each party's liabilities shall be defined therein in accordance with the Codigo Civil espanol (Spanish Civil Code) and the Codigo de Comercio (Spanish Commercial Code).

12. Term

These Terms shall remain in force indefinitely from their acceptance. The pre-contractual exploration relationship may be terminated by either party at any time by written notice, without prejudice to the survival of the confidentiality obligations set out in Clause 7.

13. Amendments

Entra reserves the right to revise these Terms, providing notice of changes with a minimum of 30 days' advance notice via the email address provided. Continuation of the evaluation process following such notification shall constitute acceptance of the revised terms.

14. Governing Law and Jurisdiction

These Terms are governed by Spanish law. The applicable legal framework includes, without limitation:

  • Codigo Civil espanol (Spanish Civil Code) (Real Decreto de 24 de julio de 1889).
  • Codigo de Comercio de 1885 (Spanish Commercial Code).
  • Ley 34/2002 (LSSI-CE) (Act on Information Society Services and Electronic Commerce), as amended.
