Pioneer Program Terms & Conditions

Version 1.1 · Last updated: March 2026 · Entra Technologies S.L.

These Terms and Conditions govern participation in the Pioneer Program of Entra Technologies S.L. The programme is entirely voluntary and no financial commitment arises at the expression-of-interest stage. Programme capacity is limited to three (3) Selected Pioneer installations, without prejudice to the conditions applicable to Participants with an Interest Agreement as described in clause 5.

1. Identification of the parties

Service Provider: Entra Technologies S.L., a limited liability company incorporated under Spanish law, with registered office in Madrid, Spain (hereinafter, "Entra").

Participant: The natural or legal person who completes the Pioneer Program expression-of-interest form and accepts these Terms (hereinafter, "the Participant" or "the Pioneer").

2. Purpose and nature of the programme

The Pioneer Program is an early-access programme for the Entra platform — a cloud-native access management and control system for parking facilities — ahead of its general commercial launch, scheduled for summer 2026.

The programme is designed exclusively for operators of parking facilities, garages and mobility spaces operating within the European Economic Area. It is not aimed at end consumers within the meaning of Real Decreto Legislativo 1/2007 (Spanish Consumer Protection Act).

Participation in the programme is structured in progressive phases: environment analysis, integration feasibility study, coordination with manufacturers, parallel test environment and, where appropriate, production deployment under preferential commercial terms.

3. Expression of interest — No binding commitment

Completing the expression-of-interest form constitutes solely an exploratory expression of intent and does not give rise to any binding contractual obligation of a financial nature for either party.

A binding contractual relationship shall only commence upon the execution of a specific agreement between Entra and the Participant, which shall incorporate the applicable commercial terms, agreed service levels (SLA) and the data processing agreement (DPA) required by Regulation (EU) 2016/679 (GDPR).

4. Selection process and programme capacity

Given the intensive nature of the technical support Entra provides during the Pioneer Program, the operational capacity of the Entra Technologies team during this initial phase is limited to a maximum of three (3) installations admitted as Selected Pioneers (Tier A, as defined in clause 5.1).

Entra Technologies' right of selection. Entra Technologies S.L. reserves the exclusive right to select, at its sole and reasoned discretion, the three installations that shall be admitted to the programme as Selected Pioneers. The mere expression of interest or execution of an Interest Agreement does not confer any right to be designated a Selected Pioneer. Entra's decision in the selection process is final and shall not give rise to any right to compensation, claim or remedy of any kind against Entra by non-selected Participants.

Indicative selection criteria may include, among others: the technological diversity of the facility (available hardware, number of access points), the representativeness of the use case for the product, the willingness and operational availability of the Participant's team to collaborate actively, and the technical feasibility of the integration process as determined by the preliminary study. Entra may communicate the definitive criteria applied to any Participant who requests them, within the limits of commercial confidentiality.

Completion of the selection process does not mean that non-selected Participants are excluded from the Entra ecosystem. Such Participants who have executed an Interest Agreement shall have access to the Tier B benefits described in clause 5.2.

5. Participation categories and associated benefits

The Pioneer Program provides for two levels of participation with differentiated conditions:

5.1 Tier A — Selected Pioneer (maximum 3 places)

Tier A · Selected Pioneer

Installations designated by Entra for full integration and production deployment ahead of the general launch. Exclusive benefits:

  • Significantly preferential launch pricing, fixed before the start of production and contractually guaranteed on a long-term basis.
  • Priority and early access to all new features during the active development phase.
  • Direct and ongoing dialogue with the product team to propose improvements and influence the roadmap.
  • Interface configuration fully adapted to the Participant's operational workflows.
  • Full integration study at no cost.
  • Dedicated technical support with a personally assigned point of contact throughout the programme.
  • Recognition as a founding Pioneer in Entra's public communications materials, subject to the Participant's express authorisation.

5.2 Tier B — Pioneer with Interest Agreement

Tier B · Interest Agreement

Participants who, having expressed their interest and executed an Interest Agreement with Entra, are not selected for Tier A. Recognised benefits:

  • Preferential pricing upon onboarding to the service after the general launch, better than standard market rates but distinct from and below Tier A conditions.
  • Early access to the platform in the subsequent phases of programme expansion, with priority over new registrations.
  • Integration study at no cost at the time of effective onboarding.
  • Participation in the extended beta programme for testing new features prior to their general release.

The specific conditions of Tier B shall be set out in the Interest Agreement executed with each Participant.

Under no circumstances does the distinction between Tier A and Tier B entail any prior financial obligation for the Participant. Both tiers begin from the same no-commitment expression-of-interest stage.

6. Obligations of Entra Technologies

Entra undertakes to:

  • Carry out the preliminary analysis of the Participant's facility at no cost and within a reasonable period from confirmation of registration.
  • Communicate the results of the integration feasibility study to the Participant.
  • Notify all Participants who have completed the feasibility study of the outcome of the selection process.
  • Not disrupt the Participant's existing operations during the integration and testing phases.
  • Process the data provided by the Participant in accordance with applicable data protection legislation.
  • Maintain strict confidentiality regarding the technical and operational information provided by the Participant.

7. Obligations of the Participant

The Participant undertakes to:

  • Provide truthful and up-to-date information about their current facility, the manufacturers they work with and the equipment available.
  • Designate a technical point of contact for the analysis and integration process.
  • Treat as confidential any technical, commercial or strategic information provided by Entra within the framework of the programme.
  • Not reproduce, distribute or grant third parties access to the Entra test environment or the technical documentation provided.
  • Notify Entra as promptly as possible of any incident or security breach detected in the test environment.

8. Confidentiality

Both parties mutually undertake to maintain in strict confidence all technical, commercial, operational or strategic information received from the other party within the framework of the Pioneer Program, in accordance with the principles established in Ley 1/2019, de 20 de febrero, de Secretos Empresariales (Spanish Trade Secrets Act).

This obligation shall remain in force for the duration of the programme and for an additional period of two (2) years following its termination, regardless of the cause of termination.

Excluded from this obligation is any information that is or becomes publicly available through means other than a breach of these Terms, or whose disclosure is required by a final judicial or administrative order.

9. Intellectual and industrial property

Entra Technologies S.L. is the exclusive owner of all intellectual and industrial property rights in the Entra platform, including the source code, artificial intelligence algorithms, user interfaces, system architecture, trademarks and any associated technical documentation.

Participation in the Pioneer Program does not confer upon the Participant any licence to use, reproduce or distribute the software, save for restricted access to the test environment solely for the purposes of the programme.

The Participant's own operational data shall remain under their ownership at all times. Entra may use anonymised and aggregated data for product improvement purposes, in full compliance with the GDPR.

10. Personal data protection

The processing of personal data provided during the registration process is governed by Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Ley Orgánica 3/2018, de 5 de diciembre, de Protección de Datos Personales y garantía de los derechos digitales (LOPDGDD) (Spanish Data Protection Act).

Entra acts as the data controller for the Participant's contact data, on the legal basis of legitimate interest (Art. 6(1)(f) GDPR) for programme management and pre-contractual interest (Art. 6(1)(b) GDPR) for carrying out the integration study.

Should the integration proceed to the production phase and involve access to third-party data (drivers, facility users), the parties shall execute a Data Processing Agreement (DPA) pursuant to Article 28 of the GDPR, in which Entra shall act as data processor.

The Participant may exercise their rights of access, rectification, erasure, restriction, portability and objection by contacting privacy@entratechnologies.com.

11. Limitation of liability

During the testing and evaluation phase of the Pioneer Program, and until the execution of the definitive service agreement, Entra's liability shall be limited to proven direct damages that are a direct consequence of wilful misconduct or gross negligence on the part of Entra, in accordance with Articles 1101 et seq. of the Código Civil español (Spanish Civil Code).

In no event shall Entra be liable for loss of profit, loss of business, business interruption or indirect damages arising from the use or inability to use the test environment.

The test environment is provided on an "as is" basis, without guarantees of continuous availability or absence of errors, and does not constitute the definitive service that is the subject of the future contractual relationship.

12. Duration and termination

The relationship arising from the expression of interest shall be of indefinite duration until either party communicates its decision not to continue the process, which may be done at any time and without the need for justification, by written notice to pioneers@entratechnologies.com.

Once access to the test environment has been formalised, its duration shall be established in the corresponding specific agreement, with a minimum of three (3) months and the possibility of extension by mutual agreement.

13. Amendment of the terms

Entra reserves the right to amend these Terms, notifying the Participant with a minimum of 30 days' advance notice via the email address provided at registration. Continued use of the programme following such notification shall constitute acceptance of the amended terms.

14. Governing law and jurisdiction

These Terms are governed by Spanish law, including, among others, the following legislation:

  • Ley 34/2002, de 11 de julio, de Servicios de la Sociedad de la Información y del Comercio Electrónico (LSSI-CE) (Act on Information Society Services and Electronic Commerce).
  • Regulation (EU) 2016/679 (GDPR) and Ley Orgánica 3/2018 (LOPDGDD) (Spanish Data Protection Act).
  • Código Civil español (Royal Decree of 24 July 1889) (Spanish Civil Code) as regards obligations and contracts.
  • Código de Comercio de 1885 (Commercial Code of 1885), as applicable to the commercial relationship.
  • Ley 1/2019, de 20 de febrero, de Secretos Empresariales (Trade Secrets Act).

For the resolution of any dispute arising from these Terms, the parties submit, with express waiver of any other jurisdiction that may apply, to the jurisdiction of the Courts and Tribunals of Madrid.
